Terms & Conditions
Last updated: Oct 27, 2026
1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your use of thewinbox.com and any services, products, or content provided by The Winbox ("The Winbox," "we," "us," or "our"). By accessing the website, booking a call, purchasing a product, or engaging our services, you ("Client" or "you") agree to these Terms.
If you are entering into these Terms on behalf of a business, you confirm that you have authority to bind that business. If you do not agree to these Terms, do not use the website or our services.
Where a separate signed proposal, statement of work, or service agreement exists between you and The Winbox, that document controls if it conflicts with these Terms.
2. Our Services
The Winbox provides email marketing and retention services for businesses, including:
Email Account Audits: review of strategy, automations, list setup, content, and metrics.
Deliverability Services: review and remediation of DNS records (such as SPF, DKIM, and DMARC), sending traffic, list hygiene, and content practices.
Monthly Email Campaign Management: content ideation, list segmentation, content calendars, email design, and deployment.
Full Email Marketing Management: end-to-end management of your email channel, which may include SMS and growth strategy support.
Consultations: paid strategy and consultation calls.
Digital Products and Educational Content: guides, templates, courses, and similar materials sold or offered through the website.
The specific scope, deliverables, timelines, and fees for each engagement are set out in your proposal, invoice, or order confirmation (your "Order"). Work outside that scope may require a separate quote.
3. Service Agreement
3.1 Engagement Term
Unless your Order states otherwise, service packages run month to month with no long-term lock-in. Each monthly term renews automatically until either party cancels under Section 3.6. We recommend a minimum of three months to see the full benefit of our work, but this is not required.
3.2 Fees
Fees are stated in your Order and are quoted in U.S. dollars. Monthly service fees are due in advance at the start of each billing period. Audits, deliverability projects, consultations, and other one-time services are due in full before work begins, unless your Order sets out a deposit or installment schedule.
Fees do not include third-party costs such as email service provider subscriptions, SMS fees, software, domains, or advertising spend. You are responsible for those costs directly.
3.3 Payment Methods and Billing
We accept payment by credit or debit card, ACH bank transfer, and other methods listed at checkout or on your invoice. By providing payment details, you authorize The Winbox to charge the agreed fees to your chosen method, including recurring monthly charges for ongoing services until you cancel.
ACH payments to The Winbox may appear on your bank statement under the name Yusef Ibrahim. Card payments may appear under The Winbox or the name of our payment processor. If you see a charge you do not recognize, contact us at hello@thewinbox.com before disputing it with your bank so we can resolve it quickly.
3.4 Late or Failed Payments
Invoices not paid within 7 days of the due date are considered late. We may pause work, withhold deliverables, or suspend access to accounts we manage until the balance is paid. A failed ACH or card payment may incur a returned-payment fee of $25, where permitted by law.
3.5 Chargebacks
You agree to contact us first about any billing concern. Filing a chargeback or ACH reversal for services already delivered, without first attempting to resolve the issue with us, is a breach of these Terms. We may suspend services and seek recovery of the disputed amount plus reasonable collection costs.
3.6 Cancellation
You may cancel ongoing monthly services by giving written notice to hello@thewinbox.com at least 14 days before your next billing date. Cancellation takes effect at the end of the current paid billing period, and work already scheduled for that period will be completed. We may end an engagement with 14 days' written notice, or immediately if you breach these Terms.
3.7 Refunds
Because our services involve time, expertise, and custom work, fees for services already performed or for the current billing period are non-refundable. Fees for one-time services are non-refundable once work has started. If we cancel before starting work you have paid for, we will refund the unused amount in full. Digital product refunds are covered in Section 6.
4. Client Responsibilities
To let us do our work, you agree to:
Provide timely access to your email platform, ecommerce store, DNS settings, and other accounts we need, and keep your own administrator access at all times.
Supply accurate brand assets, product information, offers, and approvals within the timelines we agree on. Delays on your side may shift delivery dates without reducing fees.
Review and approve campaigns before they are sent, unless you have authorized us in writing to send without approval.
Legal compliance. You are responsible for your subscriber lists and for how they were collected. You confirm that you have the consent required to email and text your contacts, and that your marketing complies with applicable laws, including CAN-SPAM, the TCPA, GDPR, and CASL where they apply. You are responsible for the accuracy of all claims about your products, including health, earnings, and pricing claims.
We may decline to send any content we reasonably believe is unlawful, misleading, or likely to harm your sender reputation.
5. Results, Ownership, and Confidentiality
5.1 No Guarantee of Results
Case studies, testimonials, and figures on our website reflect past client outcomes and are not a promise of future results. Revenue, open rates, inbox placement, and other outcomes depend on factors outside our control. These include your products, pricing, list quality, and mailbox provider policies. We do not guarantee any specific result.
5.2 Your Materials
You keep ownership of everything you provide to us, including your logos, product images, customer data, and subscriber lists. You grant us a limited license to use these materials only to perform the services.
5.3 Deliverables
Once you have paid in full, you own the final emails, copy, and designs we create specifically for you. Until then, all rights stay with The Winbox. We keep ownership of our pre-existing know-how, frameworks, templates, and processes, and you receive a license to use any of them included in your deliverables for your own business.
We may show non-confidential work and general results in our portfolio and case studies unless you ask us in writing not to.
5.4 Confidentiality and Data
Each party will keep the other's non-public business information confidential and use it only for the engagement. We handle subscriber and customer data only to perform the services and do not sell it. Our Privacy Policy explains how we collect and use personal information through the website.
6. Digital Products, Free Guides, and Newsletter
License. Digital products purchased from our shop, such as Copy That Sells, are licensed for use by you and your own business only. You may not resell, share, redistribute, or publish them, or use them to train others commercially, without our written permission.
Refunds. Because digital products are delivered instantly, all sales are final once the product has been accessed or downloaded. If a file is defective or fails to deliver, contact us within 7 days and we will replace it or issue a refund.
Free resources. Our blog, podcasts, free guides, and diagnostic tools are for general education. They are not legal, tax, or technical advice for your specific situation.
Newsletter. By signing up for Weekly Wins or other email lists, you agree to receive emails about email marketing. You can unsubscribe at any time using the link in any email.
7. Legal Terms
7.1 Third-Party Platforms
Our work relies on third-party tools such as Klaviyo, Omnisend, ActiveCampaign, GoHighLevel, and Shopify. We are not responsible for their outages, policy changes, account suspensions, or deliverability filtering by mailbox providers such as Gmail and Yahoo.
7.2 Disclaimer of Warranties
The website and its content are provided "as is." We perform our services with reasonable skill and care. Beyond that, to the extent permitted by law, we disclaim all other warranties, express or implied, including fitness for a particular purpose.
7.3 Limitation of Liability
To the extent permitted by law, The Winbox is not liable for any indirect, incidental, or consequential damages. This includes lost profits, lost revenue, or lost data. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose.
7.4 Indemnification
You agree to indemnify and hold harmless The Winbox and its owners, team members, and contractors against claims arising from your content, your subscriber lists, your products, or your breach of these Terms or applicable law.
7.5 Governing Law and Disputes
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law rules. Before filing any claim, both parties agree to try to resolve the dispute informally for 30 days. Any remaining dispute will be resolved in the state or federal courts located in Baltimore County, Maryland.
7.6 Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and the "Last updated" date will change. Continued use of our website or services after an update means you accept the revised Terms. Changes do not affect Orders already paid for.
7.7 General
If any provision is found unenforceable, the rest of these Terms remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent.
